# Agent Vault Terms of Service

## 1. Acceptance
By creating an account or using the Agent Vault service ("Service"), you agree to these Terms of Service ("Terms"). If you don't agree, don't use the Service.
The Service is provided by **[Agent Vault LLC / Casey Software LLC]** ("Agent Vault", "we", "us", "our"), a [Florida limited liability company] with its principal office in [Largo, Florida].
## 2. Eligibility
You may use the Service only if:
1. You are at least 18 years old
2. You are a licensed insurance producer in good standing in at least one U.S. state, and you can verify this via your National Producer Number (NPN)
3. You are not barred from using the Service under U.S. law
4. You agree to use the Service only for lawful insurance-related business
We may verify your license status via the NIPR Producer Database at any time. If your license becomes inactive, suspended, or revoked, we may suspend your account.
## 3. Account responsibilities
You are responsible for:
- Keeping your password and 2FA credentials secure
- All activity that happens under your account
- Notifying us immediately at security@agentvault.io if you suspect unauthorized access
- Maintaining accurate, up-to-date account information
## 4. Acceptable use
You agree NOT to:
- Use the Service to collect information from anyone other than a bona-fide insurance prospect or client
- Misrepresent your identity, license status, or affiliations
- Send Agent Vault links to recipients who have not consented to contact (TCPA / CAN-SPAM compliance is your responsibility)
- Attempt to reverse-engineer, decompile, or extract source code from the Service
- Bypass or attempt to bypass rate limits, security controls, or the 90-second reveal window
- Resell, sublicense, or white-label the Service without a separate written agreement
- Use the Service for any purpose other than the secure collection of client information related to insurance underwriting and binding
Violation of this section may result in immediate account termination without refund.
## 5. Subscription, billing, and refunds
- Subscription fees are billed in advance, monthly or annually
- We use Stripe to process payments. You authorize us to charge your payment method on each renewal
- Free trials convert to paid subscriptions only if you provide payment information; trial accounts that haven't upgraded become read-only after the trial period
- Pro-rated refunds available within 14 days of any charge — email billing@agentvault.io
- We may change prices with 30 days' notice; price changes apply at your next renewal
- Failed payments result in 3 retry attempts; after that, account becomes read-only
## 6. Your data and your clients' data
### 6.1 Your account data
You retain ownership of all data you submit to the Service: account info, agent profile, link metadata, and audit logs. We license that data only to operate the Service for you.
### 6.2 Client data (sensitive PII)
By design, **Agent Vault does not store sensitive client data at rest.** When a client submits information through your Agent Vault link:
- Data is encrypted in transit (TLS 1.3) and at rest in our ephemeral cache (AES-256-GCM)
- Data is destroyed automatically after the earlier of: (a) the 90-second reveal window closing, or (b) 60 minutes after submission
- Only operational metadata (timestamps, IP, agent email, link ID, outcome) is retained
- The plaintext SSN, bank account, or routing number is **never written to persistent storage**
### 6.3 Your responsibilities as a data controller
You are the "data controller" for your client information under U.S. state privacy laws. You are responsible for:
- Obtaining the client's consent to be contacted
- Providing your own privacy notice to your clients (Agent Vault's privacy notice on the intake page covers Agent Vault's processing only)
- Honoring your clients' privacy rights (deletion, access requests) for any data you store on your own systems after the reveal
## 7. License grant
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your paid (or trial) subscription period, solely for your lawful insurance business.
## 8. Intellectual property
The Service, the Agent Vault brand, the underlying code, the design, and all associated IP are owned by Agent Vault LLC. These Terms grant you no ownership.
## 9. Third-party services
The Service integrates with: NIPR (license verification), Stripe (billing), Twilio (SMS), Resend (email), and other subprocessors listed at agentvault.io/subprocessors. Your use of those services may be subject to their own terms.
## 10. Termination
You may cancel anytime via the Stripe Customer Portal. We may terminate your account if:
- You materially breach these Terms
- Your insurance license becomes inactive or revoked
- We're required to by law or regulator action
- You're more than 30 days past due on payment
Upon termination, your account is deactivated. Audit logs are retained per Section 11.
## 11. Audit log retention
We retain operational metadata (audit logs) for 7 years to support your potential regulatory or E&O needs. You may request export at any time. You may request deletion after termination unless retention is required by law.
## 12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee uninterrupted or error-free operation. We target 99.9% uptime but do not warrant it.
## 13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENT_VAULT'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) $100.
WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DEALS.
## 14. Indemnification
You agree to indemnify and hold Agent Vault harmless from any claim arising out of:
- Your use of the Service
- Your violation of these Terms
- Your violation of any law, regulation, or third-party right
- Your handling of client data after the reveal
## 15. Governing law and dispute resolution
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. Disputes are resolved by binding arbitration in [Pinellas County, Florida] under AAA Commercial Rules, except either party may seek injunctive relief in court for IP issues.
You waive any right to a jury trial or class action.
## 16. Changes to these Terms
We may update these Terms. Material changes will be emailed to you 30 days before they take effect. Continued use after the effective date constitutes acceptance.
